Terms of Service — DRAFT

DRAFT — not legal advice and not yet in force. Prepared for Oscar's sign-off (2026-10-11). Covers Australian and United States law by design: Australia is the home jurisdiction (mandatory Australian Consumer Law rights are preserved), and US consumers get explicit state-law carve-outs. Placeholders in [BRACKETS] need values. Recommended: one review pass by a lawyer before removing the DRAFT banner.

1. Agreement. These terms govern your use of [PLATFORM NAME] (the "Service"), the design and development-analysis tools operated at our websites ("we", "us", "our"). By creating an account or using the Service you agree to these terms. If you do not agree, do not use the Service.

2. The Service. The Service produces computational design outputs — site options, floorplates, building models, renders, tiles and related analysis — from planning and spatial data. Outputs are decision-support and estimation tools. They are not architectural, engineering, legal or planning advice, and they depend on third-party data (planning controls, point clouds, mapping) that we do not warrant to be complete or current. Verify anything that matters with a qualified professional.

3. Account. You must provide a real email address and keep your credentials safe. You are responsible for activity under your account. Email changes reset your verification status. We may suspend accounts that breach these terms or the law.

4. Purchases, credits and access. Some features require purchasing access to a place model (or a part of one), or credits. Payments are processed by Stripe; we do not store card numbers. Current billing is one-off purchases only — there is no recurring billing and therefore nothing to cancel. Prices are shown before payment and include applicable taxes. Refunds are handled in line with your statutory rights (see clause 8) and our refunds runbook; contact us and we will work it out promptly.

5. Your content and design outputs. You own the design outputs generated for you. Input data you provide remains yours. You grant us a licence to host, process and display your inputs and outputs solely to run the Service for you. We may retain outputs for caching, audit and improvement of the Service as described in the Privacy Policy.

6. Acceptable use. No unlawful use, no probing or breaching the Service or other users' data, no reselling raw Service output as a substitute for the Service, no automated bulk extraction beyond what your purchased access allows.

7. Our intellectual property. The platform, software, models and documentation are ours (or our licensors'). These terms give you a limited, non-exclusive right to use the Service and to use your outputs for your own purposes, including commercial projects.

8. Disclaimers and limitation of liability.

  • To the maximum extent permitted by law, the Service is provided "as is", without warranties of any kind, and our total aggregate liability arising out of or in connection with the Service is capped at the fees you paid us in the 12 months before the claim.

  • We are not liable for indirect or consequential loss, lost profits, lost data, or decisions made on the basis of outputs.

  • There is no service level agreement or uptime guarantee at this stage.

  • Australian Consumer Law. Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred by the Australian Consumer Law or any other applicable law that cannot lawfully be excluded. Where we are permitted to limit liability for breach of a non-excludable guarantee, our liability is limited, at our option, to re-supplying the services or paying the cost of having the services supplied again.

  • United States. Some US states do not allow limitations on implied warranties or the exclusion of certain damages. In those states, the limitations above apply to the maximum extent permitted, and you may have additional rights.

9. Governing law. These terms are governed by the laws of New South Wales, Australia, and disputes are subject to the courts of New South Wales. If you are a consumer living outside Australia (including the United States), the mandatory consumer-protection rights of your home jurisdiction continue to apply, and nothing in this clause deprives you of those rights.

10. Changes. We may update these terms; material changes will be notified by email or in-Service notice before they take effect. Continued use after that means acceptance.
